Exchange for a block listing of 1,500,000 Common Stock of $0.25 par value under
the 1998 Centex Corporation Employee Non-Qualified Stock Option Plan, to trade
on the London Stock Exchange and to be admitted to the Official List upon
issuance. The stock shall rank pari passu with the existing issued stock of the
