Annual General Meeting
The Company gives notice that its
Annual General Meeting ("AGM", "Meeting") will be held at 10am on 28
June 2024 at Eccleston Yards, 25 Eccleston Place, London, United
Kingdom, SW1W 9NF.
The Company confirms that the
following documents have been posted and made available on the CMR
website www.cmrplc.com:
1. Notice of
Annual General Meeting ("Notice"), dated 28 June 2024;
and
2. associated Form
of Proxy.
You can register your votes for the
Meeting either by:
(a) visiting shareregistrars.uk.com,
clicking on the "Proxy Vote" button and then following the
on-screen instructions
(b) by post or by hand to Share
Registrars Limited, 3 The Millennium Centre, Crosby Way, Farnham,
Surrey GU9 7XX using the proxy form accompanying this
notice
(c) for shareholders which hold
their shares in electronic, dematerialised form in CREST, please
contact your stockbroker or share trading platform which as a CREST
member will register your votes via the CREST electronic proxy
appointment service.

The Notice and Form of Proxy are

In order for a proxy appointment to
be valid, the proxy must be received by Share Registrars Limited in
the form noted above, or made within CREST, by 10 am on 26 June
2024.
The completion and depositing of a
Form of Proxy will not preclude a shareholder from attending and
voting in person as provided above at the AGM.

Critical Mineral Resources (CMR) plc
is an exploration and development company focused on developing
assets that produce key commodities essential for renewable energy,
battery storage and electrification to support the clean energy
revolution. These commodities are widely recognised as being at the
start of a supply and demand supercycle.
CMR is building a diversified
portfolio of high-quality metals exploration and development
projects in Morocco, focusing on copper, nickel, manganese, cobalt,
and potentially rare earths. CMR identified Morocco as an ideal
mining-friendly jurisdiction that meets its acquisition and
operational criteria. The country is perfectly located to supply
raw materials to Europe and possesses excellent prospective
geology, infrastructure and attractive permitting, tax and royalty
conditions. In 2023, the Company acquired an 80% stake in leading
Moroccan exploration and geological services company Atlantic
Research Minerals SARL.
Since taking over the CMR in 2022,
the current management has completed a comprehensive strategic
review and restructuring of the business and implemented its clear
strategy to maximise exploration and resource development
opportunities for the benefit of all stakeholders. The Company is
