Announcement on approval of Articles of Association by
NFRA
China Pacific Insurance (Group) Co.,
Ltd. (the "Company" or
"CPIC") hereby announces
that, in reference to the notice dated 5 February 2024 and
announcements dated 11 December 2023 and 29 February 2024, the
resolution on amendments to the articles of association of the
Company (the "Articles of
Association") was considered and approved at the 2024 first
extraordinary general meeting of the Company convened on 29
February 2024 (the "General
Meeting") and amendments were made to the Articles of
Association in accordance with the relevant regulatory requirements
and current circumstances of the Company. Under the authorization granted at the General Meeting,
further improvements were made to the amendments to the Articles of
Association pursuant to the comments by National Financial
Regulatory Administration ("NFRA").
The Company has recently received
the "Approval of the Amendments to the Articles of Association of
China Pacific Insurance (Group) Co., Ltd." (Jin Fu [2024] No. 312)
issued by the NFRA. The NFRA has approved the amended Articles of
Association.
The amended Articles of Association
took effect on the date of approval by the NFRA. The full text of
the Articles of Association will shortly be submitted to the
National Storage Mechanism and be available for inspection at
https://data.fca.org.uk/#/nsm/nationalstoragemechanism. A copy will
also be available shortly on the Company's website at
http://www.cpic.com.cn/gdr/gdrggen/.
