Issue of Equity 
 
The  Directors of Downing Distribution VCT  2 plc report an allotment on 5 April 
2011 of  29,909 ordinary shares of 1p each issued at a price of 110.5p per share 
pursuant a "Top-up Offer" which the Company launched on 18 October 2010. 
 
Application for the shares to be admitted to the Official List of the UK Listing 
Authority  and  to  trading  on  the  London  Stock Exchange's market for listed 
securities will be made at the earliest practical opportunity. 
 
The "Top-up Offer" is now closed.
