At the DP World Limited Annual General Meeting held at 11:00 a.m., Monday 28 April 2014, the shareholders passed all the resolutions.

ORDINARY RESOLUTIONS

ANNUAL ACCOUNTS

Resolution 1

It was proposed that the Company's annual accounts for the financial year ended 31 December 2013 together with the auditors' report on those accounts be approved.

766,862,891 of the votes cast were in favour and 0 of the votes cast were against. The number of votes abstained was 1,002,639

DIVIDEND

Resolution 2

It was proposed that a final dividend be declared of 23 US cents per share in respect of the year ended 31 December 2013 payable on Tuesday 6 May 2014 to shareholders on the register at the close of business on 1 April 2014.

RE - APPOINTMENT OF SULTAN BIN SULAYEM

Resolution 3

It was proposed that Sultan Ahmed Bin Sulayem be re-appointed as a director of the Company.

RE - APPOINTMENT OF JAMAL MAJID BIN THANIAH

AUDITORS

Resolution 10

It was proposed that KPMG LLP be re-appointed as independent auditors of the Company to hold office from the conclusion of this meeting until the conclusion of the next general meeting of which accounts are laid.

REMUNERATION OF KPMG LLP

Resolution 11

It was proposed to authorise the directors to determine the remuneration of KPMG LLP.

AUTHORITY TO ALLOT SHARES

Resolution 12

It was proposed to renew the existing authority allowing the Company to allot (or issue) up to a limited number of ordinary shares in the Company.

SPECIAL RESOLUTIONS

AUTHORITY TO BUY BACK SHARES

Resolution 13

It was proposed to authorise the Company to buy back a limited number of shares.

DIS-APPLY PRE-EMPTION RIGHTS

Resolution 14

In line with common international practice, DP World requested the renewal of an existing authority allowing the Company to allot (or issue) up to a limited number of shares (5% of the nominal value of the issued and unconditionally allotted share capital of the Company) free of pre-emption rights.

766,435,921 of the votes cast were in favour and 0 of the votes cast were against. The number of votes abstained was 1,429,609.

REDUCTION OF SHARES

Resolution 15

It was proposed that the Company be generally and unconditionally authorised to reduce its share capital by cancelling any or all of the ordinary shares purchased by the Company pursuant to Resolution 13.

766,661,937 of the votes cast were in favour and 200,954 of the votes cast were against. The number of votes abstained was 1,002,639.
