Pearson PLC (PSON.LN), a publishing company and Education Development International Plc or EDI (EDD.LN) announced Friday that, as at 1200 GMT on May 6, 2011, valid acceptances had been received in respect of a total 45,799,297 EDI Shares, representing 81.26% of the issued share capital of EDI.

MAIN FACTS:

-This total includes acceptances received in respect of 17,091,460 EDI Shares (representing 30.33% of the issued share capital of EDI) which were subject to irrevocable commitments procured by Pearson.

-Shares closed Friday at 1148 pence
