GUANGDONG DEVELOPMENT FUND LIMITED
("GDF")
DISPOSAL OF ASSETS, SUMMARY WINDING UP AND DE-LISTING

At the Extraordinary General Meeting of GDF held on 22 May 2009 (the "EGM"), to
approve the Disposal, De-listing and Summary Winding Up (as described in the
circular to GDF Shareholders dated 27 April 2009 (the "Circular")), the
resolutions to approve the Disposal, De-listing and Summary Winding Up and
related resolutions were approved by the requisite majorities of GDF
Shareholders.

As set out in the Circular, the anticipated date of the completion of the
Disposal and the commencement of the Summary Winding Up was today, 3 June 2009
and the anticipated date of the cancellation of the listing of the Ordinary
Shares on the Official List was expected to be from 8:00 a.m. on 4 June 2009.

However, additional time is required to effect the transfer of the Beneficial
Trust Interest to KIL, and thus the completion of the Disposal and the
commencement of the Summary Winding Up is now anticipated to take place on or
about 17 June 2009.

Consequently, the cancellation of the Ordinary Shares on the Official List is
now expected to be from on or about 8:00 a.m. on 18 June 2009.

Words and expressions in this announcement have the same meaning as those
defined in the Circular except where the context requires otherwise.
