Issue of Shares & Employee Equity Awards

Gresham Technologies plc (LSE: "GHT", "Gresham", "Group", "Company"), the leading software and services company that specialises in providing solutions for data integrity and control, banking integration, payments and cash management, announces that it has issued, conditional on admission, 218,054 ordinary shares of 5 pence each in the Company ("Ordinary Shares") in respect of equity awards to certain employees and executive directors of the Company (together, "Employees"), pursuant to the Company's annual bonus scheme in relation to FY23 performance.

The Bonus Shares were subscribed for at a price of 163 pence per Ordinary Share which has been funded through a proportion of the Employees' respective bonus entitlement in respect of FY23 and are beneficially held through the Company's global nominee service.

Details of Ordinary Shares issued to executive directors are set out in the table below:

Application will be made for the admission to trading of the new Ordinary Shares on the Main Market of the London Stock Exchange and to listing on the Official List, with dealings expected to commence at 8 a.m. on or around 6 June 2024.

Following the issue of the new Ordinary Shares, which will rank pari passu with all existing Ordinary Shares, the Company will have a total of 84,092,512 Ordinary Shares with voting rights in issue. The Company currently holds no shares in treasury.

The above figure of 84,092,512 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FCA's Disclosure and Transparency Rules.
