Posting of Offer Document 
 
Further to the announcement made on 13 March 2009 regarding the recommended cash 
offer to be made by Norcliffe Investments Limited ("Norcliffe") to acquire the 
entire issued and to be issued share capital of GNE Group plc ("GNE") not 
already owned by Norcliffe or any of its associates ("the Offer"), Norcliffe 
announces that the Offer document containing full terms of, and conditions to, 
the Offer, (the "Offer Document") was posted to GNE Shareholders, together with 
the related Form of Acceptance on 21 March 2009. 
 
To accept the Offer in respect of GNE Shares held in certificated form, GNE 
Shareholders should complete, sign and return the Form of Acceptance, which 
accompanies the Offer Document, in accordance with the instructions contained 
therein and set out in the Offer Document, as soon as possible and, in any 
event, so as to be received by Capita Registrars by no later than 1.00pm (London 
time) on 14 April 2009. 
 
To accept the Offer for GNE Shares held in uncertificated form (that is, in 
CREST), GNE Shareholders should follow the procedure for electronic acceptance 
through CREST in accordance with the instructions set out in the Offer Document 
so that the TTE Instruction settles as soon as possible and, in any event, by no 
later than 1.00pm (London time) on 14 April 2009. 
 
Copies of the Offer Document and the Form of Acceptance are available from 
Capita Registrars, Corporate Actions, The Registry, 34 Beckenham Road, 
Beckenham, Kent, BR3 4TU during normal business hours on any weekday (Saturdays, 
Sundays and public holidays excluded) while the Offer remains open for 
acceptance. 
 
Terms defined in the Offer Document have the same meaning in this announcement
