     HENDERSON JAPANESE SMALLER COMPANIES TRUST PLC


Henderson Japanese Smaller Companies Trust plc

The Company announces that it has allotted 400 Ordinary Shares of 25p nominal
each pursuant to the exercise of warrants to subscribe for Ordinary Shares in
the Company.

Application has been made to the Financial Services Authority for the Ordinary
Shares to be admitted to the Official List and to the London Stock Exchange
for the Ordinary Shares to be admitted to trading. Dealings are expected to
commence on 15 December 2000.

The Ordinary Shares will rank pari passu in all respects with the existing
Ordinary Shares in issue.
