                    Issue of Equity and Holding in Company 
 
Innovise plc (AIM: INNO), announces that the Company has issued and allotted 
1,250,000 new ordinary shares of 1 penny each ("Ordinary Shares") at a price of 
40 pence each as deferred consideration in connection with the acquisition of 
Infrasolve Limited. 
 
In January 2009, Innovise announced the acquisition of Infrasolve Limited for a 
total consideration of GBP6.67 million, including GBP4 million in Innovise shares 
and a further deferred GBP1 million payable in either shares or cash at the 
Company's option. The issue of 1,250,000 new Ordinary Shares is in relation to 
the first GBP0.5 million of the deferred payment. 
 
Subsequent to this issue of equity above, the Company's issued share capital 
comprises 39,150,702 Ordinary Shares. 
 
Application has been made for the 1,250,000 Ordinary Shares to be admitted to 
trading on AIM. Trading in these shares on AIM is expected to commence on 21 
January 2010. The new ordinary shares rank pari passu with the existing 
ordinary shares.
