Grant and Exercise of Annual Options

Ishaan Real Estate plc ("the Company"), announces that at a Board meeting on 28 March 2012, the Company approved a grant of options over 70,633 ordinary shares of 1 pence each in the capital of the Company ("Ordinary Shares"), to Ian Henderson in accordance with his letter of appointment as Chairman of the Company dated 7 November 2009. At that same Board meeting, the Company also approved a grant of options over 52,975 Ordinary Shares to Vittorio Radice in accordance with his letter of appointment as non-executive Director of the Company dated 7 November 2009 (together, the "Annual Options").

The Annual Options, which are being granted to Ian Henderson and Vittorio Radice in lieu of salary, have an exercise price of 1 pence per Ordinary Share and will be exercised immediately. Following the exercise of the Annual Options, Ian Henderson will have an interest in 796,288 Ordinary Shares and Vittorio Radice will have an interest in 500,155 Ordinary Shares.

An application has been made to the London Stock Exchange for the 123,608 Ordinary Shares, which will rank pari passu with existing Ordinary Shares, to be admitted to trading on AIM. It is expected that these new Ordinary Shares will be admitted to trading on 3 April 2012.

Following the admission to AIM of the new Ordinary Shares, the Company will have 145,854,133 Ordinary Shares with voting rights in issue.
