                      Compulsory Acquisition Procedures


Compulsory acquisition notices are being sent today to those Bernard Matthews
Shareholders who have not yet accepted the Revised Offer (other than  Bernard
Matthews Shareholders in the United States, Canada, Australia or Japan) under
the provisions of sections 428-430F of the Companies Act 1985.

The  Revised Offer remains open for acceptance. Bernard Matthews Shareholders
wishing  to  accept the Revised Offer should complete and return the  Revised
Form of Acceptance in accordance with the instructions on it. Doing so should
enable  the consideration due to Bernard Matthews Shareholders to be received
more promptly than if the statutory procedure has to be followed.

The listing of Bernard Matthews Shares on the Official List is expected to be
cancelled at the close of business on 12 January 2001.
