ISSUE OF NEW SHARES

TOTAL VOTING RIGHTS

In accordance with DTR 5.6.1, the Company notifies the market of the following:

The Company has received a notice to exercise unapproved share options over 445,647 Ordinary Shares of one pence each.

Accordingly, the Company has applied to the London Stock Exchange for the 445,647 Ordinary Shares to be admitted to trading on the Official List ("Admission"). It is expected that Admission will occur at 8.00 a.m. on 20 July 2017. The Ordinary Shares will rank pari passu with the existing Ordinary Shares in the Company.

Following Admission, the Company's issued share capital will consist of 306,198,362 Ordinary Shares of one pence each with voting rights, of which 4,240,885 Ordinary Shares are held in treasury.

Accordingly, the total number of voting rights in the Company will be 301,957,477.

The above figure of 301,957,477 may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change of their interest in, the Company under the Disclosure Guidance and Transparency Rules of the FCA.
