Punch Graphix plc ("Punch Graphix" or the "Company")

Directors shareholding

The Company announces that on 16 November 2006, 150,000 ordinary shares of 10p 
each in the capital of the Company (the "Ordinary Shares") were issued and 
allotted to Wolive NV ("Wolive"), a management company controlled by Ben Van 
Assche, the Chief Executive of the Company, pursuant to the Punch Graphix Long 
Term Incentive Plan (the "LTIP"). The Ordinary Shares represent approximately 
0.15 per cent of the issued share capital of the Company and the entirety of 
Wolive's shareholding in the Company.

The Ordinary Shares were issued with full legal and beneficial ownership but are
subject to certain restrictions on disposal until such time as they become fully
vested in accordance with the terms of the LTIP.

11,570 of the Ordinary Shares issued to Wolive were new ordinary shares of 10p 
each in the capital of the Company (the "New Ordinary Shares") and the balance 
of 138,430 Ordinary Shares were transfers of existing shares to Wolive from 
former members of the LTIP.

Following the issue of the New Ordinary Shares, Punch Graphix has 102,840,790 
ordinary shares of 10p each in issue.

Application has been made for the New Ordinary Shares to be admitted to trading 
on AIM, a market of the London Stock Exchange.
