PHOENIX VCT PLC (the "Company")

ISSUE OF EQUITY

Phoenix VCT plc announces that at a board meeting held on 5 April 2006, 101,317
C Shares of 10 pence each were issued and allotted to one subscriber at a price
of 98.7 pence per share for cash. Also issued and allotted were 296,543 Ordinary
Shares of 10 pence each to twenty eight subscribers at a price of 106.1 pence
per share for cash.

Application for the new shares to be admitted to the Official List of the UK
Listing Authority and to trading on the London Stock Exchange's market for
listed securities will be made at the earliest practical opportunity.

The issued share capital of the Company is now 11,093,248 Ordinary Shares and
5,244,505 C Shares.
