Update in relation to 2024
Extraordinary General Meeting
Plus500, a global multi-asset
fintech group operating proprietary technology-based trading
platforms, today issues an update on the actions taken following
the voting outcomes at its Extraordinary General Meeting ("EGM")
held on 8 January 2024, in accordance with Provision 4 of the UK
Corporate Governance Code (the "Code").
At the 2024 EGM, three resolutions
proposed were passed with more than 20% of votes cast against. The
resolutions related to the election of Ms. Anne Grim as
Non-Executive Director (77.60% of votes cast were for), the
election of Ms. Tami Gottlieb as Non-Executive Director and
External Director (78.47%) and the election of Mr. Daniel King as
Non-Executive Director and External Director (75.24%).
Since the EGM, consistent with the
Company's commitment to maintaining ongoing, transparent dialogue
with its shareholders, the Board has set out to engage with several
key shareholders and shareholder advisory bodies, and accordingly,
the Board has already put in place an engagement plan and has been
approaching some of these parties.
The Company also notes that the
advisory bodies previously
recommended shareholders vote "For" in relation to
these resolutions, and it believes such recommendations remain in
the best interests of all shareholders. The Company will continue
to gather feedback from the relevant shareholders in order to
better understand their views in relation to the
resolutions.
The Board as a whole is of the
opinion that the contributions of each of the Board members elected
at the EGM is of significant value to the Company, and therefore
reaffirms its belief that Ms. Grim, Ms. Gottlieb and Mr. King
remain highly suitable for their positions as Non-Executive
Directors.
The Board will continue to take
shareholders' views into consideration as part of its approach to
achieving high governance standards and delivering long-term
shareholder value.
In accordance with provision 4 of
the Code, a final update on this matter will be included in the
Company's 2024 Annual Report.
