Clarification of Vesting of
LTIP Awards
Public Policy Holding Company (AIM:
PPHC), the government relations and public affairs group providing
clients with a fully integrated and comprehensive range of
services, announces a clarification of the term "vesting" used in
respect of its LTIP awards.
As stated by the Company in prior
announcements and in its Admission Document at the time of its IPO,
the issue of common shares and certain LTIP awards, such as
restricted stock awards ("RSAs") may be subject to "vesting"
conditions.
These vesting conditions typically
relate to the holders' of the awards continued employment with the
Group and, to the extent that such condition does not continue to
be satisfied then the common shares represented by the unvested
RSAs will not vest and will be forfeited and clawed back by the
Company.
These vesting conditions form part
of the terms of the award made to each holder and are not a
restriction on the rights attaching to the common shares
themselves, or the shareholders thereafter, which remain
freely transferable.
