Update on placing, financing and offers on subsidiary company

RAM ACTIVE MEDIA PLC ("RAM" or the "Company")

The Company previously announced on 21st November 2012 that it was planning a fund raise to complete the transaction with Stream TV Networks Inc. and to strengthen its balance sheet.

The Company has not completed its placing yet but continues ongoing discussions with various parties to complete the transaction, including existing shareholders.

The Company also advises shareholders that it has received a number of offers to acquire a majority shareholding in its main operating subsidiary RAM Vision Limited. The Board is considering these offers and may or may not decide to proceed and recommend any of these. Should any offer be recommended it would need to be put to shareholders for approval.

In the meantime, an existing lender of RAM and its board have agreed to provide additional loan capital to strengthen the working capital position of the Company.
