Further to the announcement made on 9 October 2002, the Independent Directors
confirm that Mr Robin Russell and certain directors of the Company (backed by
funds managed by Graphite Capital Management Limited) have made a revised
approach that may or may not lead to an offer being made for the entire share
capital of the Company.



Discussions have re-commenced, and a further announcement will be made in due
course, when appropriate.
