    RECOMMENDED ACQUISITION OF SSP HOLDINGS PLC BY H&F SENSOR BIDCO LIMITED

    Results of Court Hearing to sanction Scheme


    SSP Holdings plc is pleased to announce that today, at the first of two Court Hearings required as part of the Scheme, the Court
sanctioned the Scheme and the Scheme Court Order made at the Court Hearing will be delivered to the Registrar of Companies in England and
Wales shortly after the Court Hearing. 

    Accordingly, trading in SSP shares will be suspended on 22 September 2008 pending the outcome of the second Court Hearing which will
take place on 23 September 2008 at which the Court will consider, and if thought fit, make the Reduction Court Order to reduce the share
capital of the Company.
    Cancellation of the admission to trading of SSP Shares from AIM will take effect from 08:00 am on 24 September 2008. 
    If the Reduction Court Order is made then the Scheme Effective Date, being the day upon which the Acquisition completes, is scheduled to
be 24 September 2008. 
    Unless the context otherwise requires, capitalised terms used but not defined in this announcement have the same meanings as given to
them in the Scheme Document dated 4 August 2008.
