Exchange for the block listing of 2,000,000 
Ordinary shares of 20p each fully paid, ranking 
pari passu with the existing Ordinary shares, to 
the Official List.

1,000,000 shares will be allotted pursuant to the 
exercise of options under the rules of the 
Companys 1996 Sharesave Scheme.

1,000,000 shares will be allotted pursuant to the 
exercise of options under the rules of the 
Companys No.1 Executive Share Option Scheme.
