THAMES RIVER MULTI HEDGE PCC LIMITED

Total Voting Rights

Further to the Tender Offer share price announcement made on 8 May 2012, Thames River Multi Hedge PCC Limited (the "Company") announces that the following total number of Shares tendered from each class of the Company's Shares were repurchased by the Company on 31 May 2012 and cancelled:

   Sterling shares                                                               41,039,045 
   Euro shares                                                                   875,927 
   Dollar shares                                                                 3,969,274

As a result of the above, the total number of Sterling shares in issue (excluding treasury shares) is 40,001,343, the total number of Euro shares in issue (excluding treasury shares) is 700,360 and the total number of Dollar shares in issue (excluding treasury shares) is 3,013,105.

All shareholders have equal voting rights based on the number of shares held. Accordingly, the total number of voting rights in the Company is 43,714,808 and this figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FSA's Disclosure and Transparency Rules.
