Broker Agreement

ThinkSmart Limited (AIM: TSL) announces that further to the announcement of 29 July 2022, whereby it entered into a Scheme Implementation Deed with Tuscan Equity Pty Ltd ("Bidco") under which Bidco would acquire the entire issued share capital of ThinkSmart pursuant to a scheme of arrangement under the Australian Corporations Act 2001 (Cth) ("the Scheme"), which required that prior to the first Court hearing, a broker be appointed to sell the Block shares on the New York Stock Exchange after the Scheme is implemented.

The Company confirms that Canaccord Genuity has been appointed as such broker and a Broker Agreement between Canaccord Genuity, the Company and Bidco has been signed. The operation of the Broker Agreement is conditional on the Scheme becoming Effective which remains subject to Court, FCA and shareholder approval. The Company confirms that it has also entered into a Funds Flow deed with Bidco to effect the flow of proceeds under the Scheme and in accordance with the Scheme Implementation Deed.

A further announcement will be made in due course following the first Court date with details of the Scheme Timetable and timing for publication of the Scheme Booklet.
