COURT APPROVES CONVENING OF SCHEME MEETING AND DISTRIBUTION OF SCHEME BOOKLET

ThinkSmart Limited (AIM: TSL) refers to the proposed acquisition of ThinkSmart by Tuscan Equity Pty Ltd ("Bidco") by way of a scheme of arrangement under the Australian Corporations Act 2001 (Cth) (the "Scheme"), as announced on 29 July 2022.

Court approval of convening of Scheme Meeting

ThinkSmart is pleased to announce that the Federal Court of Australia ("Court") has today made orders approving the convening of the meetings of ThinkSmart shareholders to consider and vote on the Scheme ("Scheme Meetings").

The Scheme Meetings are expected to take place via the Computershare Virtual Meeting Platform on 16 November 2022, full details of which and notice of these Scheme Meetings will be set out in the Scheme Booklet, as defined below.

ThinkSmart's 2022 Annual General Meeting will also be held virtually via the Computershare Virtual Meeting Platform prior to the Scheme Meetings on 16 November 2022.

Scheme Booklet

A scheme booklet which includes information about the Scheme, an independent expert's report prepared by Grant Thornton Corporate Finance Pty Ltd ("Independent Expert") and the notices of the Scheme Meetings and Annual General Meeting (together, the "Scheme Booklet") will be published and notified in a further announcement following the registration of the Scheme Booklet with the Australian Securities and Investments Commission.
