RESIGNATION OF DR MICHAEL FRENZEL

In accordance with the Relationship Agreement between TUI AG (56.44% shareholder) and TUI Travel and, following receipt of the requisite Notice from TUI AG, Dr. Michael Frenzel has stepped down as the Non-Executive Chairman and has been replaced by Friedrich Joussen with immediate effect.

Also, in accordance with the Relationship Agreement, TUI Travel announces that Sebastian Ebel, Director of Planning at TUI AG, will join the Board as a Non-Executive Director with immediate effect.

Friedrich was appointed as a member of the Executive Board of TUI AG on 15 October 2012 and took over as Chief Executive Officer of TUI AG on 13 February 2013. He was appointed as a Non-Executive Director of TUI Travel on 8 February 2013.

Sir Michael Hodgkinson, Non-Executive Deputy Chairman and Senior Independent Director, said:

"The Group has benefitted through Michael's knowledge and industry insight during his time as Chairman. On behalf of the Board, I would like to thank him for his dedicated service and valuable contributions over the years. The Board and I would also like to welcome Friedrich and Sebastian to the business and we look forward to working with them over what will be a very exciting period of growth ahead."

The Company confirms that there are no further matters requiring disclosure in relation to paragraphs 9.6.13 (1) to (6) of the Listing Rules of the UK Listing Authority.

Notes to Editors

Under the Relationship Agreement between TUI AG (56.44% shareholder) and TUI Travel, TUI AG may appoint two Shareholder Directors to the Board which have now been filled by Friedrich Joussen and Sebastian Ebel.
