Conversion of Securities - Application For Listing

The Board of TUI Travel PLC ("TUI Travel" or the "Company") announces that application has been made to the UK Listing Authority for the listing of 28,628 Ordinary Shares of 10 pence each in the capital of the Company (the "Ordinary Shares"), and to the London Stock Exchange for such Ordinary Shares to be admitted to trading.

The application has been made pursuant to the exercise of conversion rights by bondholders in respect of the TUI Travel GBP350,000,000 6.0 per cent. Convertible Bonds due 2014. The Ordinary Shares will be issued fully paid and will, upon issue, rank pari passu in all respects with the Company's existing issued Ordinary Shares.
