Results of Elections under Scrip Dividend Scheme

The Company announces that, pursuant to its scrip dividend scheme (the "Scrip Dividend Alternative"), 129,623 ordinary shares of 10 pence each in the capital of the Company (the "Shares") were on 31 October, 2016 sold out of treasury to shareholders who had elected to participate in the Scrip Dividend Alternative. Electing shareholders will receive Shares instead of cash in respect of the first interim dividend for the year ending 31 December, 2016.

Elections pursuant to the scrip dividend scheme were received in respect of 52.17 per cent of the Shares in issue (excluding treasury shares) at the record date of 19 August 2016. The Shares will rank pari passu with the existing ordinary shares.

Voting Rights

The Company now has 24,302,092 Shares in issue, of which 1,875,471 Shares are held in treasury. Accordingly, the number of voting rights in issue is now 22,426,621 and this figure should be used by shareholders as the denominator for calculations by which they determine if they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure Guidance and Transparency Rules.
