Completion of Acquisition, Issue of Equity and Total Voting
Rights
Further to the announcement on 17 January 2012, Westhouse
Holdings PLC (AIM: WHL), the corporate and institutional
stockbroking group, is pleased to announce the completion of the
acquisition of Arbuthnot Securities Limited ("Arbuthnot
Securities") from Arbuthnot Banking Group plc (LSE: ARBB). The
Company has, therefore, issued 1,250,000 ordinary shares of 0.005p
in the Company ("Ordinary Shares") as part of the
consideration.
Application has been made for the new Ordinary Shares to be
admitted to trading on AIM on 25 January 2012 ("Admission").
Following Admission, Arbuthnot Banking Group plc, will have a
beneficial interest in 1,250,000 Ordinary Shares, representing
9.32% of the Company's issued ordinary share capital.
For the purposes of the Financial Services Authority's
Disclosure and Transparency Rules, the total number of Ordinary
Shares in issue as at 25 January 2012 will be 13,405,935 with each
share carrying the right to one vote.
There are no shares held in treasury.
The total number of voting rights in the Company will be
13,405,935.
The above figure may be used by shareholders as the denominator
for the calculations by which they will determine if they are
required to notify their interest in, or a change to their interest
in, Westhouse, under the Disclosure and Transparency Rules.
