On July 19, 2010, ATC and GENCO announced that they had entered into a definitive agreement under which ATC would be acquired for $25.00 per share in cash in a deal valued at approximately $512.6 million. Although the merger consideration “represents a 43.4% premium over ATC's July 16, 2010 closing price” and a “46.5% premium over the average closing price of ATC common stock over the 30 trading days prior to July 19, 2010,” ATC’s stock traded for over $24.00 per share in late March of this year. ATC stock prices fell to $18.02 on March 26, after the company announced lower than expected revenues and earnings per shares due to “lower than anticipated returns volume with AT&T.” On April 26, 2010, ATC announced that it had “renewed its contract with AT&T covering all services currently provided to AT&T” through December 31, 2013. Additionally, according to Thompson/First Call, at least one analyst has set a price target of $30 per share.
