Explanation of Responses:
( 1)  The Reporting Person was granted 40,000 shares of restricted stock on January 28, 2015, which shares vest in four equal annual installments commencing on the first anniversary of the date of the award. The first installment of 10,000 restricted shares vested on Janaury 28, 2016 and are now held directly.
( 2)  Stock options vest in four equal annual installments beginning on March 27, 2014, the first anniversary of the date of the grant.
( 3)  Stock options are fully vested and exercisable.
