Explanation of Responses:
( 1)  Each RSU represents a contingent right to receive one share of CAMD stock.
( 2)  The RSU's vest upon the first to occur of 12/12/2010 and the next annual stockholders meeting. Vesting accelerates in full upon change in control.
( 3)  The RSU's are settled when they vest and therefore terminate upon vesting.

Remarks:
This amendment corrects the expiration date and the vesting schedule in footnote two.
