Law Offices of Howard G. Smith announces that it is
investigating potential claims against the board of directors of
HealthTronics, Inc. (“HealthTronics” or the “Company”)
(NASDAQ:HTRN) related to the Company’s agreement to be acquired by
Endo Pharmaceuticals Holdings Inc. (“Endo”). The proposed
transaction is valued at approximately $223 million, including
assumed debt.
Under the terms of the definitive merger agreement entered into
by the parties, Endo will commence an all-cash tender offer to
acquire all of the outstanding shares of HealthTronics common stock
for $4.85 per share in cash. The tender offer is expected to
commence within 10 business days of May 5, 2010, and will remain
open until July 1, 2010, subject to extension under certain
circumstances. Upon completion of the tender offer, a wholly owned
subsidiary of Endo will merge into HealthTronics and HealthTronics
will operate as a wholly owned subsidiary of Endo. The
investigation concerns possible breaches of fiduciary duty and
other violations of law related to approval of the transaction by
the HealthTronics board of directors.
