Jos. A. Bank Clothiers, Inc. (the “Company”) is filing the additional material contained in this Schedule 14A with the Securities and Exchange Commission (the “SEC”) in connection with the solicitation of proxies for the upcoming 2013 annual meeting of shareholders. This supplement is being made available on June 7, 2013.
 
The Company announces that Proposal Four (approval of the amendment and restatement of the Jos. A. Bank Clothiers, Inc. 2010 Equity Incentive Plan) is withdrawn and will not be presented for a vote at the annual meeting of shareholders to be held on Friday, June 21, 2013.
