BERLIN--German furniture retailer Steinhoff International Holdings NV (SNH.JO) said Wednesday it had succeeded with its takeover offer for Mattress Firm Holding Corp. (MFRM).

Shares representing a stake of slightly more than 67% in the U.S. company were tendered in the offer. In addition, notices of guaranteed delivery for an additional almost 4% stake were delivered, said Steinhoff, which paid $64 a share.
