According to the definitive acquisition agreement announced by the companies, Parkvale Financial shareholders will receive a fixed ratio of 2.178 shares of F.N.B. Corporation common stock for each share of Parkvale Financial/PVSA common stock they hold. The transaction is valued at $130 million, and the deal is expected to close in the fourth quarter of 2011.

The firms are investigating the fairness of the proposed transaction to Parkvale Financial shareholders, whether the shareholders are being underpaid for their stock, and whether Parkvale Financial’s Board of Directors acted in the shareholders’ best interests. In particular, although the acquisition price represents an approximate value of $22.48 per share to Parkvale Financial shareholders, at least one analyst has set a target price of $27.00 per share for PVSA stock.
