COMPANY
We
are a provider of solutions and services in the middle of the revenue cycle for healthcare providers throughout the United States and
Canada. Streamline Health’s technology helps hospitals improve their financial performance by optimizing data and coding for every
patient encounter prior to bill submission. By performing these activities before billing, providers can drive net revenue through reduced
revenue leakage, overbilling, and days in accounts receivable. This enables providers to achieve more predictable revenue streams using
technology rather than manual intervention. We provide computer software-based solutions, professional consulting and auditing and coding
services, which capture, aggregate and translate structured and unstructured data to deliver intelligently organized, easily accessible
predictive insights to our clients. Hospitals and certain hospital owned and operated physician groups use the knowledge generated by
Streamline Health to help improve their financial performance. The Company’s software solutions are delivered to clients either
by access to the Company’s data center systems through a secure connection in a software as a service delivery method or by a fixed-term
or perpetual license, where such software is installed locally in the client’s data center. The Company operates exclusively in
one segment as a provider of health information technology solutions and associated services that improve healthcare processes and information
flows within a healthcare facility. The Company sells its solutions and services in North America to hospitals and health systems through
its direct sales forces and its reseller partnerships.

We do not currently pay cash dividends on our common stock, and we currently intend to retain any future earnings for use in our business.

Limitation
of Director Liability
Our
Charter contains a provision that limits the liability of our directors as permitted under Section 102(b)(7) of the DGCL. The provision
eliminates a director’s personal liability to us or our stockholders for monetary damages for breach of fiduciary duty as a director,
except for liability (A) for any breach of the director’s duty of loyalty to us or our stockholders, (B) for acts or omissions
not in good faith or that involve intentional misconduct or a knowing violation of law, (C) for the unlawful payment of dividends or
unlawful stock purchases under Section 174 of the DGCL or (D) for any transaction from which the director derives an improper personal
benefit.
Delaware
Anti-Takeover Law and Provisions of our Charter and Bylaws
Delaware
Anti-Takeover Law. We are subject to Section 203 of the DGCL. Section 203 generally prohibits a public Delaware corporation from
engaging in a “business combination” with an “interested stockholder” for a period of three (3) years after the
date of the transaction in which the person became an interested stockholder, unless:

prior to the date of such business combination, the board of
directors of the corporation approved either the business combination or the transaction that resulted in the stockholder becoming an
interested stockholder; |

upon consummation of the transaction which resulted in the
stockholder becoming an interested stockholder, the interested stockholder owned at least eighty-five percent (85%) of the voting stock
of the corporation outstanding at the time the transaction commenced, excluding for purposes of determining the number of shares outstanding
(a) shares owned by persons who are directors and also officers of the corporation and (b) shares issued under employee stock plans under
which employee participants do not have the right to determine confidentially whether shares held subject to the plan will be tendered
in a tender or exchange offer; or |

In
general, Section 203 defines an interested stockholder as any entity or person beneficially owning fifteen percent (15%) or more of the
outstanding voting stock of the corporation and any affiliate or associate of such entity or person.
Our
Charter and Bylaws. Provisions of our Charter and Bylaws may delay or discourage transactions involving an actual or potential change
in our control or change in our management, including transactions in which stockholders might otherwise receive a premium for their
shares, or transactions that our stockholders might otherwise deem to be in their best interests. Therefore, these provisions could adversely
affect the price of our common stock. Among other things, our Charter and Bylaws:

SELLING
STOCKHOLDERS
We
have prepared this prospectus to allow the selling stockholder to offer and sell from time to time up to 394,127 shares of our common
stock for its own account (the “Shares”). The Shares issued to the selling stockholder consist of 394,127 Shares issued
for the fiscal year ending January 31, 2023, relating to a Master Services Agreement (the “MSA”) and related statements
of work (each, a “SOW”). Pursuant to the MSA and related SOWs, the Company is obligated to issue an additional amount
of shares of common stock to the selling stockholder for services to be furnished pursuant to the MSA and such related SOWs. Such additional
shares of common stock have not been issued as of the date of this prospectus and are not shown as beneficially owned by the selling
stockholder in the table below.
For
further information regarding the MSA and the SOWs, please see our Current Report on Form 8-K that we filed with the Commission on March
25, 2020.
The
selling stockholder may sell some, all or none of its Shares. We do not know how long the selling stockholder will hold the Shares before
selling them, and we currently have no definitive agreements, arrangements or understandings with the selling stockholder regarding the
sale or other disposition of any of the Shares. The Shares covered hereby may be offered from time to time by the selling stockholder.
As a result, we cannot estimate the number of shares of common stock the selling stockholder will beneficially own after termination
of sales under this prospectus.

our knowledge, the selling stockholder has not, nor during the three (3) years prior to the date of this prospectus has had, any position,
office or other material relationships with us or any of our affiliates other than the MSA and related SOWs. To our knowledge, the selling
stockholder is not a broker-dealer, nor at the time of the acquisition did the selling stockholder have direct or indirect agreements
or understandings with any person to distribute any common stock, including the Shares.
The
information set forth in the table below is based upon information obtained from the selling stockholder. Beneficial ownership of the
selling stockholder is determined in accordance with Rule 13d-3(d) under the Exchange Act. The percentage of shares beneficially owned
prior to, and after, the offering is based on 58,909,934 shares of our common stock outstanding as of June 23, 2023. In addition,
pursuant to the terms of the MSA and related SOWs, we expect to issue an additional 536,808 shares of our common stock to the selling
