Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 30, 2024, Anthony A. Iskander, Senior Vice President, Finance and Treasurer, who served as Interim Chief Financial Officer of Advance Auto Parts, Inc. (the “Company”) from August 18, 2023 to November 26, 2023 and assumed the principal accounting officer responsibilities on an interim basis from October 18, 2023 to November 26, 2023, informed the Company of his intent to resign, effective October 11, 2024. Mr. Iskander’s resignation is not the result of any disagreement regarding the Company’s financial reporting or accounting policies, procedures, estimates or judgments.

On October 2, 2024, Elizabeth E. Dreyer, the Company’s Senior Vice President, Controller and Chief Accounting Officer informed the Company of her intent to resign and begin retirement. Ms. Dreyer’s retirement is not the result of any disagreement regarding the Company’s financial reporting or accounting policies, procedures, estimates or judgments. Effective October 5, 2024, Ms. Dreyer is expected to serve in an advisory capacity through mid-January, 2025, to support transition in the role. Ryan P. Grimsland, Executive Vice President, Chief Financial Officer, will assume the principal accounting officer responsibilities on an interim basis until the Company names Ms. Dreyer’s successor. The Company thanks Ms. Dreyer for her service and the support she provided to strengthen the Company’s internal control over financial reporting, including substantial enhancement of accounting and financial reporting staff and implementation of additional controls.
