Explanation of Responses:
(1) This Form 4 is being amended to correct the number of stock units that vested and converted into shares of Issuer's common stock on August 20, 2021 from 2,283 shares to 2,829 shares, which was previously incorrectly reported due to an inadvertent administrative error by the Issuer.
(2) This award converts to common stock on a 1-for-1 basis.
(3) Stock units vest 30% on the first and second anniversaries of the date of grant and 40% on the third anniversary of the date of grant.
(4) The number of shares underlying the stock units that were previously reported on Form 4 have been adjusted in connection with the closing of the spin-off of Victoria's Secret & Co. by the Issuer on August 2, 2021.
