ICN Icn Resources Ltd.

ICN Resources Ltd. ("ICN" or the "Company") (TSX VENTURE:ICN), wishes to issue
the following clarification relative to the Company's news release of May 4,
2011 entitled "ICN Updates Goldfield Bonanza Project".


Details of the Definitive Agreement referred to in the first paragraph of
yesterday's News Release are outlined in ICN's news release of March 29, 2011.
ICN only has an option on the Goldfield Property. The Option is exercisable over
four years and grants ICN the right to earn up to an 80% interest in the
Goldfield Property. If ICN fulfills the terms of the Option, then the parties
will enter into an 80-20 Joint Venture, with ICN being the majority holder and
the Operator. ICN has not yet earned or acquired any interest in the Goldfield
Property to date.


The technical information contained in the Company's news release of May 4, 2011
was reviewed by Tom Temkin, a consulting geologist to the Company on the
Goldfield Bonanza Project, and Mr. Temkin is a CPG through AIME, and a qualified
person as defined by National Instrument 43-101.
