Saratoga Electronic Solutions Inc. (the Company) (TSX VENTURE:SAR).

Following the annual general meeting of shareholders of Saratoga Electronic
Solutions Inc. held in Montreal at the head office of the Company, in accordance
with regulatory section 51-102, we hereby advise you of the following
shareholders voting results obtained at the Meeting;


1- Election of directors:

The six nominees proposed by management were elected on a vote by show of hands:

-Georges A. Durst

-Donald W. Seal, QC

-Andre Link

-Alfredo Perez

-Martin Fontaine

-Luc Charlebois

2- Appointment of the Company's auditors:

WSBG LLP - S.E.N.C.R.L. were appointed as the Company's auditors on a vote by
show of hands and thus, authorizing the Directors to fix the auditors
remuneration.
