Peter Leger, President and Chief Executive Officer of Teras is pleased to
announce that the Company intends to complete a non-brokered private placement
of up to 3,000,000 Common Shares at a price of $0.50 per common share (a "Common
Share") for gross proceeds of up to $1,500,000. A finder's fee of up to 8% of
the gross proceeds may be paid on all or any portion of this private placement. 


It is not anticipated that any new insiders will be created or that any change
of control will occur, as a result of the private placement. Completion of the
financing is subject to regulatory approval. The proceeds from the private
placement will be used to advance the Company's Cahuilla project including
further drilling with the intention of increasing the current gold/silver
resources and locating deeper high grade feeder veins.

About Teras 

The Company is focused on developing its Cahuilla project located in Imperial
County, California. The project encompasses an area of at least 3 km by 1.5 km
and demonstrates the potential for a large-scale, bulk mining operation
consisting of altered and mineralized sedimentary and volcanic host rocks with
numerous sheeted high-grade quartz veins. Teras filed a NI 43-101 compliant
technical report with an indicated resource of 1.2 million plus ounces of gold
and 11 million plus ounces of silver on its Cahuilla project (70.148 million
tons at an average grade of 0.015 ounces per ton gold and 0.17 ounces per ton
silver with a cutoff of 0.008 ounces per ton gold). The Company has an
aggressive plan to increase the resource and develop the project for future
mining operations.
