Explanation of Responses:
( 1)  This Convertible Peomisory Note has not set expiration date. Shareholder expects to convert entire debt 12/31/2015.

Remarks:
The Shares being reported were issued as a result of a partial conversion of principal and interest ($37,500) of a $100,000 Note recorded in Issuers
financial statements for the period ended March 31, 2007. The conversion price of $0.025 per share was reduced from the original conversion price of
$1.00 per share as consideration for the extension of the Original Note from December 2007 to December 2009. The balance of the principal and interest
of the Note is still outstanding.
