Explanation of Responses:
( 1)  The reported shares and warrants are issued as Units. Each Unit consists of (i) one share of the Issuer's Common Stock and (ii) a warrant representing the right to purchase one share of such Common Stock, exercisable for a period of five years, at an initial exercise price of $0.10 per share.
( 2)  Far East Golden Resources Investment Limited is a wholly-owned subsidiary of Hybrid Kinetic Group Limited. Sun East LLC owns 30.29% of the issued share capital of Hybrid Kinetic Group Limited. Sun East LLC is owned (i) 35% by Yung Yeung, Chairman of Hybrid Kinetic Group Limited, and (ii) 65% by Manwai Ma and Jimmy Wang as co-trustees for certain trusts established for the benefit of the children of Yung Yeung. Hybrid Kinetic Group Limited and Sun East LLC may be deemed to be beneficial owners of the reported securities for the purposes of Section 16 or for any other purpose; however, such entities disclaim beneficial ownership of these securities except to the extent of their pecuniary interest therein.
