( 1)  These shares were issued to the recipient pursuant to the terms of the Share Exchange Agreement entered into on August 27, 2009 between the Company and Nationwide Energy Portal Inc., which was closed on October 15, 2009.
( 2)  Of these shares, 64,960,000 are subject to the terms and provisions of the Escrow Agreement, which is a material component of the Share Exchange Agreement entered into on August 27, 2009 between the Company and Nationwide Energy Portal Inc., which was closed on October 15, 2009.
