Explanation of Responses:
(1) Pursuant to a Convertible Promissory Note dated as of October 6, 2017, HWH International Inc. may convert up to $50,000 in principal and any accrued interest into shares of the common stock of Sharing Services Global Corporation at a conversion price of $.15 per share at any time prior to October 6, 2022. The Convertible Promissory Note has an interest rate of 12% per annum. HWH International Inc. is a subsidiary of Singapore eDevelopment Limited, of which the reporting person is the Chief Executive Officer and majority stockholder.
(2) Pursuant to Common Stock Purchase Warrants dated as of October 6, 2017, HWH International Inc. may purchase up to 333,333 shares of the common stock of Sharing Services Global Corporation at an exercise price of $.15 per share at any time prior to October 6, 2022.

Remarks:
On April 30, 2020, Mr. Chan joined the Board of Directors of Sharing Services Global Corporation. The original Form 3 filed on May 8, 2020 is amended by this Form 3 amendment to correctly reflect the warrants to purchase shares of the common stock of Sharing Services Global Corporation described above. No other changes have been made to the original Form 3.
