                   CANCELLATION OF LISTING AND BOARD CHANGES                   

Following this morning's announcement by Ferrovial Servicios in respect of the
recommended cash offer for Amey plc becoming unconditional, Amey plc announces
that the Company has applied for the cancellation of the listing of its shares
on the UK Listing Authority's Official List and the trading of its shares on
the London Stock Exchange's market for listed securities. It is intended that
the cancellation will take effect on 26 June 2003.

Amey plc also announces that The Rt Hon the Lord Patten, Mr John Biles and Mr
Gordon Page have resigned as Non-Executive Directors from the Board with
immediate effect.

In addition, I�igo Meir�s, Jos� Mar�a P�rez Tremps, Nicol�s Vill�n and Santiago
Olivares have been appointed as Non-Executive Directors and Jos� Leo has been
appointed as Group Finance Director to the Board, all with effect from today.
