CLS Holdings plc (the `Company') 
 
           PDMR Shareholdings, Total Voting Rights & Treasury Shares 
 
Following the announcement made earlier today in relation to the appointment of 
Mr Richard Tice, the Company's Deputy Chief Executive Officer, t he Company 
announces that: 
 
 1. it has sold 207,000 ordinary shares of 25p each in the Company ("Ordinary 
    Shares") from its holding in Treasury to Mr Tice at the mid market price of 
    482.5 pence per Ordinary Share; 
 
 2. Mr Tice has purchased 207,000 Ordinary Shares at 482.5 pence per Ordinary 
    Share. Mr Tice's interest in Ordinary Shares (excluding options) is 207,000 
    Ordinary Shares representing 0.43% of the Company's new issued share 
    capital below; and 
 
 3. f ollowing the above transaction the Company now holds 4,793,000 Ordinary S 
    hares as treasury shares and the total number of Ordinary shares in issue, 
    excluding shares held as treasury shares, is 48,231,256.  Therefore the 
    total number of voting rights in CLS Holdings plc is48,231,256.
