NOTIFICATION OF INTEREST OF DIRECTOR AND COMNNECTED PERSONS

TAKE UP OF SCRIP DIVIDEND AND SALE OF SHARES IN CLS HOLDINGS PLC ("the
Company")


A family trust of Sten Mortstedt, Executive Chairman of CLS Holdings plc, on
22nd April, 1998 sold 1,250,000 shares at 140 pence each and Executive
Director Bengt Mortstedt together with his family trust on 22nd April, 1998
sold 1,000,000 shares at 140 pence each in the Company.

Sten Mortstedt and his interests intend to take their entire entitlement of
1,312,747 scrip shares and Bengt Mortstedt and his interests intend to take
160,437 scrip shares in the Company in lieu of dividend on 29th May, 1998.

After taking account of the above sales and following the issue of the scrip
dividend shares on 29th May, 1998, Sten Mortstedt's family holding will
increase from 45,153,369 shares to 45,216,116 shares and Bengt Mortstedt's
family holding will decrease from 8,720,811 to 7,881,248 shares.
