Henderson Group plc wishes to confirm that shareholders on the register at 5.00pm today, the Record Date, will be entitled to an interim dividend in respect of the six months ended 30 June 2012 of 2.1 pence per ordinary share.

For holders of CHESS Depositary Interests (CDIs), the A$ or the NZ$ equivalent will be 3.223714 cents* (Australia) and 4.159287 cents* (New Zealand) per CDI respectively.

The dividend will be paid on 21 September 2012.

The timetable is as follows:

Processing recommences for requests by CDI holders to

convert CDIs into ordinary shares or by ordinary shareholders
